These Terms of Service constitute a legally binding agreement between you and TechFides LLC, a company registered in the State of Texas, United States. By accessing our website or engaging our services, you agree to be bound by these Terms.
TechFides provides enterprise AI deployment, consulting, and technology transformation services, including sovereign AI infrastructure deployment, AI Readiness 360 assessment, AI Transformation Management, AEGIS Intelligence Operating System, and referral partner program management.
Our services are intended for businesses and organizations. By engaging our services, you represent that you are at least 18 years of age and have the legal authority to bind your organization to these Terms.
As a Client, you agree to provide accurate information, ensure necessary hardware and access, designate authorized personnel, comply with applicable laws, and make timely payments.
Subscription pricing is published on the Pricing page and confirmed in your signed order form. Monthly subscriptions are billed on the anniversary of your activation date; annual subscriptions are billed on the anniversary of your activation date with two months included. Invoices are due within 30 days. Late payments may incur a 1.5% monthly charge. Separately, enterprise consulting engagements (AI Readiness 360, AI Transformation, AEGIS) are scoped and priced in individual engagement agreements.
All client data processed by TechFides-deployed AI systems remains the exclusive property of the Client. TechFides does not access, copy, transmit, or retain any client data unless explicitly authorized in writing.
All TechFides proprietary methodologies, frameworks, and tools remain the exclusive intellectual property of TechFides LLC. Client data and proprietary information remain the exclusive property of the Client. AI models are subject to their respective open-source licenses.
Both parties agree to maintain the confidentiality of proprietary or sensitive information. This obligation survives termination for three years.
TechFides warrants professional service delivery. Except as stated, services are provided "as is" without warranties. TechFides does not guarantee specific business outcomes or ROI projections.
TechFides' total liability shall not exceed the total fees paid during the twelve months preceding the claim. TechFides shall not be liable for indirect, incidental, or consequential damages.
You agree to indemnify TechFides from claims arising from your breach of these Terms, misuse of AI systems, violation of laws, or third-party claims related to your use of services.
These Terms remain in effect as long as you use our services. You may cancel your subscription at any time with 30 days' written notice; upon cancellation, we will coordinate return of any loaned hardware via a prepaid shipping box. Consulting engagements may be terminated as specified in the individual engagement agreement. Upon termination, all outstanding fees for services rendered become immediately due.
Participation in the Referral Partner Program is subject to approval. Commission structures may be updated with 30 days' notice. TechFides reserves the right to modify the program at any time.
These Terms are governed by the laws of the State of Texas. Disputes shall be submitted to binding arbitration in Collin County, Texas, under the rules of the American Arbitration Association.
TechFides reserves the right to modify these Terms at any time. Material changes will be communicated via email or website notification.
If any provision is unenforceable, the remaining provisions continue. These Terms constitute the entire agreement between the parties.
